Welcome to Nyxtopia OÜ. These Terms of Service ("Terms") govern your use of the services provided by Nyxtopia OÜ ("Nyxtopia OÜ", "we", "us", or "our"). By purchasing a subscription or using our services, you agree to be bound by these Terms.
Nyxtopia OÜ provides the services set out on our website and as agreed in your subscription plan. We reserve the right to update, modify, or discontinue features of the services with reasonable prior notice to clients.
We commit to delivering the services described in your chosen plan. Response times, deliverable schedules, and escalation procedures are set out in your individual service agreement or on our Pricing page.
To enable us to deliver the services effectively, you agree to:
Services are billed on a recurring monthly basis unless otherwise agreed in writing. Invoices are due on receipt. Accounts overdue by more than 14 days may result in a temporary pause of active work until the outstanding balance is cleared. Payments are processed securely via Stripe.
Upon full payment of all fees, all deliverables created specifically for you (such as written content, reports, and campaign assets) are owned by you. We retain the right to reference the existence of the client relationship and use anonymised results data for promotional purposes, unless you request otherwise in writing.
Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the engagement. This obligation survives termination of these Terms.
We are not liable for any indirect, incidental, or consequential damages arising from your use of our services. Search engine algorithms, platform policies, and market conditions are outside our control; we make no guarantee of specific ranking positions, traffic volumes, or revenue outcomes. We will at all times act in good faith and use commercially reasonable efforts to achieve the agreed objectives.
Either party may terminate the agreement with 30 days' written notice. Upon termination, all deliverables completed and paid for to that point will be released to you. We will make reasonable efforts to ensure a smooth handover of any assets, access credentials, or documentation held on your behalf.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
